1. Agreement to These Terms

These Terms of Use (“Terms“) form a legally binding agreement between you and Focusteck, LLC (“Focusteck“, “we“, “us” or “our“). They govern your access to and use of our website at www.focusteck.com, our web, mobile applications, software products, AI agents, APIs and related online services (together, the “Services“).

By accessing or using the Services, creating an account, or clicking to accept these Terms, you confirm that you have read, understood and agree to be bound by them, together with our Privacy Policy and any additional terms referenced here. If you do not agree, you must not use the Services.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

Where you have signed a separate master services agreement, statement of work or order form with Focusteck, that agreement governs the services it covers and prevails over these Terms to the extent of any conflict.

2. Definitions

Account means the account you create to access certain features of the Services.
Content means text, images, graphics, audio, video, software, code, data and other material made available through the Services.
User Content means any Content, data, prompts, files or other material you submit, upload or transmit through the Services.
Output means any content generated by the Services, including by AI-enabled features, in response to your inputs.
Third-Party Services means products, services, platforms, APIs, websites and infrastructure operated by parties other than Focusteck.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. By using the Services, you confirm that you meet this requirement and are not barred from using them under any applicable law, including sanctions and export control laws.

4. Accounts and Security

Some features require an Account. You agree to provide accurate, current and complete information and to keep it up to date. You are responsible for keeping your login credentials, one-time passcodes and devices secure, and for all activity that occurs under your Account. Notify us promptly at security@focusteck.com if you suspect unauthorized access. We are not liable for losses caused by your failure to safeguard your credentials.

5. Changes to the Services and These Terms

We may modify, suspend or discontinue any part of the Services at any time. We may also update these Terms from time to time. When we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new “Last updated” date, by email, or through an in-app notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

6. Intellectual Property

The Services and all Content we provide, including software, source and object code, designs, text, graphics, logos, icons, audio, video and the selection and arrangement of these, are owned by or licensed to Focusteck and are protected by copyright, trademark and other intellectual property laws in US, Pakistan and internationally. All rights not expressly granted are reserved.

“Focusteck”, our logos and the names of our products are trademarks of Focusteck. You may not use them without our prior written permission. Other names and marks shown on the Services belong to their respective owners, and their appearance does not imply affiliation or endorsement.

7. License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Services for your personal or internal business purposes. You may download marketing materials we make publicly available for internal reference, provided you do not modify them and you keep all proprietary notices intact. Requests for any other use should be sent to marketing@focusteck.com.

8. Acceptable Use

You agree not to, and not to allow others to:

Copy, modify, distribute, sell, lease or create derivative works from the Services, except as expressly permitted.
Reverse engineer, decompile or attempt to extract source code, models, weights or underlying algorithms, except where such restriction is prohibited by law.
Circumvent, disable or interfere with security features, rate limits, authentication or verification mechanisms.
Use bots, scrapers, crawlers or automated means to access or collect data from the Services without our written consent.
Upload or transmit malware, or attempt to gain unauthorized access to our systems, networks or other users’ accounts.
Use the Services to send spam, unsolicited messages, or communications that violate telemarketing, anti-spam or consumer protection laws.
Impersonate any person or entity, or misrepresent your affiliation with anyone.
Use the Services for any unlawful, fraudulent, harmful, defamatory, harassing or infringing purpose.
Use the Services or any Output to build a competing product or service, or to train competing AI models.
Use the Services in violation of the acceptable use policies of Third-Party Services we rely on.

9. Third-Party Services and Service Providers

To operate, secure and improve the Services, we use carefully selected Third-Party Services. These may include, without limitation, providers of cloud hosting and infrastructure, communications (such as SMS, voice, messaging and email delivery), identity verification and authentication, payment processing, analytics, customer support, AI and machine learning models, mapping and other technical utilities.

By using the Services, you acknowledge and agree that:

Certain features may be provided, delivered or powered by Third-Party Services, and the availability of those features depends on those providers.
We may share with these providers the information reasonably necessary for them to perform their functions on our behalf, such as your phone number, email address or usage data, as described in our Privacy Policy.
Your use of features powered by Third-Party Services may also be subject to those providers’ own terms of service, acceptable use policies and privacy policies.
We may add, replace or remove Third-Party Services at any time without notice to you, provided the change does not materially reduce the protections described in our Privacy Policy.
We are not responsible for the acts, omissions, availability, errors or delays of Third-Party Services, including interruptions to message delivery, outages or changes to their offerings, to the fullest extent permitted by law.

The Services may also contain links to, or integrations with, third-party websites and applications that you choose to connect. These are provided for convenience only. We do not endorse or control them, and your use of them is at your own risk and governed by their terms.

10. Electronic Communications

By using the Services, you consent to receive electronic communications from us, including by email, SMS, push notification and in-app message. These may include transactional and service messages such as account notices, security alerts, verification codes, receipts and updates about the Services. You agree that these communications satisfy any legal requirement that such communications be in writing.

We will send marketing communications only where permitted by law and, where required, with your consent. You can opt out of marketing messages at any time using the unsubscribe link or by replying STOP to SMS messages. Transactional and security messages are part of the Services and cannot be opted out of while you maintain an Account.

11. Phone Verification, One-Time Passcodes and SMS

To protect your Account and the Services, we may require you to verify your identity or phone number using one-time passcodes (“OTPs“) or similar verification methods delivered by SMS, voice call, messaging app or email through our communications and authentication service providers.

By providing a phone number, you:

Confirm that you are the subscriber or authorized user of that number.
Consent to receive automated or recurring verification and service messages at that number, including OTPs, security alerts and account notifications.
Acknowledge that message frequency varies according to your use of the Services.
Acknowledge that standard message and data rates charged by your mobile carrier may apply, and that you are responsible for those charges.
Agree not to share OTPs with anyone. Focusteck staff will never ask you for your OTP.

Delivery of messages depends on your carrier, device, network coverage and our service providers. We do not guarantee that messages will be delivered, or delivered on time, and we are not liable for delayed or undelivered messages. For help, reply HELP or contact support@focusteck.com. Opting out of verification messages may prevent you from accessing features that require verification.

If you change or deactivate your phone number, you must update your Account promptly so that messages intended for you are not sent to someone else.

12. AI-Enabled Features

Some Services use artificial intelligence, including AI agents, voice assistants and models provided by third parties. You acknowledge that:

Output is generated automatically and may be inaccurate, incomplete, outdated or inappropriate. You are responsible for reviewing Output before relying on or acting on it.
Output does not constitute legal, medical, financial or other professional advice.
Similar inputs from different users may produce similar Output, and Output may not be unique to you.
Where an AI feature interacts with your customers or other people on your behalf, you are responsible for providing any required notices and obtaining any consents, including for call recording or automated messaging.

As between you and Focusteck, and to the extent permitted by law and our providers’ terms, you own the Output generated from your inputs. We do not use your User Content to train general-purpose AI models without your consent, except as described in our Privacy Policy or a separate agreement.

13. User Content

You retain ownership of your User Content. You grant Focusteck a worldwide, non-exclusive, royalty-free license to host, store, process, transmit and display your User Content solely as needed to provide, maintain, secure and improve the Services, and to comply with law. You represent that you have all rights needed to submit your User Content and that it does not infringe anyone’s rights or violate any law. We may remove or disable access to User Content that we reasonably believe violates these Terms.

14. Feedback

If you send us suggestions, ideas or feedback, you grant us the right to use them without restriction or compensation to you.

15. Privacy and Data Protection

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. We implement reasonable technical and organizational measures to protect your information, but no method of transmission or storage is completely secure. Where we process personal data on your behalf as part of a business engagement, a separate data processing agreement may apply.

16. Fees and Payments

Certain Services may be offered for a fee. Pricing, billing cycles and payment terms will be shown at the point of purchase or in your order form. Payments may be processed by third-party payment processors, and you agree to their applicable terms. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes.

17. Disclaimer of Warranties

THE SERVICES, CONTENT AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT MESSAGES, VERIFICATION CODES OR NOTIFICATIONS WILL BE DELIVERED. Some jurisdictions do not allow these exclusions, so some of them may not apply to you.

18. Limitation of Liability

Under no circumstances shall we be liable for any direct, indirect, punitive, special, or consequential damages, or any other damages whatsoever, for any use of or reliance on this website or obtained from or arising out of your use of this site, including, without limitation, any lost opportunity, lost profits, business interruption, interruption, deletion, defect, loss of programs or data, even if expressly advised or otherwise aware of the possibility of such damages, whether in an action of contract, negligence, tort, or otherwise.

19. Indemnification

You agree to defend, indemnify and hold harmless Focusteck and its affiliates, officers, employees and agents from any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from your User Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

20. Suspension and Termination

We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have breached these Terms, if required by law or a government authority, if a Third-Party Service we rely on requires it, or to protect the Services, our users or others. You may stop using the Services and close your Account at any time. Sections that by their nature should survive termination, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification and Governing Law, will survive.

21. Governing Law and Dispute Resolution

These Terms are governed by the US Laws, without regard to conflict-of-law principles. Before starting formal proceedings, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days. Any unresolved dispute will be subject to the exclusive jurisdiction of the courts of the US, unless mandatory local law where you reside provides otherwise.

22. General

Entire agreement. These Terms, together with our Privacy Policy and any agreements referenced here, are the entire agreement between you and Focusteck regarding the Services.
Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
No waiver. Our failure to enforce any right is not a waiver of that right.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including failures of carriers, networks or Third-Party Services.
No third-party beneficiaries. Nothing in these Terms confers rights on any third party.
Language. If these Terms are translated, the English version prevails.
